NEPA Furniture, together with its subsidiaries and affiliates ("NEPA," "we," "us," or "our"), provides access to and use of our websites, including www.nepafurniture.com, and any other internet sites, mobile applications, and social media pages operated by or on behalf of NEPA (collectively, the "Sites").

Your access to and use of the Sites are subject to these Terms and Conditions of Use (the "Site Terms") and all applicable laws. By accessing, browsing, or using the Sites, you agree to be bound by these Site Terms. If you do not agree, or if you lack authority to agree, you may not use the Sites. 

Related Policies and Terms 

Additional policies, guidelines, and terms may apply to specific features of the Sites or to the purchase of furniture, delivery services, warranties, or other offerings (collectively, "Products" or "Services") and are incorporated into these Site Terms by reference. 

These Site Terms apply solely to your access to and use of the Sites and do not modify any other written agreement you may have with NEPA Furniture. 

NEPA Furniture maintains a Privacy Policy describing how we collect, use, and protect personal information. Please review the Privacy Policy on the Sites for details regarding our privacy practices.


Modification of Site Terms

NEPA Furniture reserves the right, in its sole discretion, to modify these Site Terms at any time. Any changes will be effective immediately upon posting to the Sites, and the "Last Updated" date will be revised accordingly. Your continued use of the Sites following such posting constitutes acceptance of the revised Site Terms.


United States Usage

The Sites are operated by a United States entity and are governed by applicable U.S. federal and state laws. If you access the Sites from outside the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. 

You may not use the Sites or NEPA Furniture’s Services if you are subject to U.S. sanctions or to sanctions consistent with U.S. law. You are responsible for compliance with all applicable export and re-export laws and regulations. 


License and Site Access

NEPA Furniture grants you a limited, revocable, non-exclusive, non-transferable license to access and make personal, non-commercial use of the Sites. This license does not include, without limitation: 

    • Any resale or commercial use of the Sites or Site Materials. 
    • Any modification, reverse engineering, decomplication, or disassembly of Site Materials. 
    • Any copying, reproduction, distribution, display, publication, or transmission of Site Materials without prior written consent. 
    • The collection or use of product listings, descriptions, or pricing for commercial purposes. 
    • Any derivative use of the Sites or Site Materials. 
    • The use of data mining, bots, spiders, scrapers, or similar automated tools. 

"Site Materials" include all content on the Sites, including text, graphics, images, product descriptions, designs, software, code, layouts, trademarks, and the selection and arrangement thereof. 

Unauthorized use may result in termination of this license and may violate applicable intellectual property or other laws.


Changes, Errors, and Order Cancellations 

To the fullest extent permitted by law, NEPA Furniture reserves the right to: 

    • Change Products, Services, pricing, specifications, availability, or promotions at any time without notice. 
    • Limit quantities available for sale. 
    • Correct errors, inaccuracies, or omissions, including after an order has been submitted.
    • Cancel or refuse any order due to pricing errors, product availability, or suspected abuse of policies. 

If an order is canceled after payment has been processed, a refund or credit will be issued to the original payment method, as required by law.


Accounts, Passwords, and Security

If you create an account on the Sites, you are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. You agree to notify NEPA Furniture immediately of any unauthorized access or security breach. 

NEPA Furniture may take reasonable actions to protect account security, including account suspension or termination. Communications sent via unencrypted email are not secure, and you acknowledge the associated risks.


Intellectual Property

Ownership

All Site Materials are owned by NEPA Furniture or its licensors and are protected by U.S. and international intellectual property laws.

Trademarks 

NEPA Furniture, related logos, designs, and trade dress are trademarks or registered trademarks of NEPA Furniture and may not be used without prior written permission. All other trademarks are the property of their respective owners.

Restrictions 

Except as expressly permitted, no Site Materials may be copied, reproduced, distributed, modified, or used for commercial purposes without prior written consent.

Copyright Infringement

Notices of claimed copyright infringement should be submitted in accordance with the Digital Millennium Copyright Act to:

You may link to the homepage of the Sites for non-commercial purposes, provided the link does not misrepresent or harm NEPA Furniture’s reputation. Framing or use of NEPA Furniture trademarks without consent is prohibited.

Submissions

Any information or materials you submit through the Sites, including feedback or suggestions ("Submissions"), are non-confidential and may be used by NEPA Furniture for any lawful purpose without compensation, subject to the Privacy Policy. 

You agree not to submit content that is unlawful, infringing, defamatory, harmful, or otherwise objectionable.

THE SITES AND ALL MATERIALS, PRODUCTS, AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

NEPA Furniture DOES NOT WARRANT THAT THE SITES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.


Limitation of Liability 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEPA Furniture SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITES. 

NEPA Furniture’s TOTAL LIABILITY, FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITES, SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).


Governing Law and Venue 

These Site Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any legal action shall be brought exclusively in the state or federal courts located in Florida.


Termination 

NEPA Furniture may terminate or suspend your access to the Sites at any time, without notice, for violation of these Site Terms or applicable law.


Electronic Communications

By using the Sites, you consent to receive electronic communications from NEPA Furniture, including notices, disclosures, and updates, as described in our Privacy Policy.


Severability

If any provision of these Site Terms is found unenforceable, the remaining provisions shall remain in full force and effect. 


Waiver

Failure by NEPA Furniture to enforce any right or provision shall not constitute a waiver of such right or provision.
